Form a separate Mississippi LLC for each property or risk pool. Cleanest structure, full asset protection, but higher cost per entity.
A holding LLC owns multiple operating subsidiaries. Each subsidiary owns one asset or business line. Common for real estate and multi-brand operations.
Form the Series LLC in a state that authorizes them (Delaware, Texas, Illinois, Nevada), then foreign-qualify in Mississippi. Inter-series protection works in the home state; respect by Mississippi courts is uncertain.
