What is different about what an LLC costs in Tennessee.
Every state runs its own filing office, its own fee schedule and its own ongoing obligations. These are the ones that apply in Tennessee.
| Item | Amount | Detail |
|---|---|---|
| LLC filing fee | $300 | Paid to the state, at cost. File.Business charges $0 to prepare and file it. |
| Corporation, for comparison | $100 | |
| Nonprofit | $100 | |
| Professional LLC (PLLC) | $300 | |
| Series LLC | $300 | |
| Ongoing state report for an LLC | $300 | Annual Report, annual, due on or before the first day of the fourth month following the close of the entity's fiscal year |
| Registering an out-of-state LLC here | $300 | A certificate of good standing from your home state is required. Filed on the Application for Certificate of Authority (SS-4233 for an LLC, SS-4431 for a for profit corporation). |
What the Tennessee fee schedule actually says
The LLC annual report is 50 dollars per member with a minimum of 300 dollars and a maximum of 3,000 dollars, so a six member LLC pays the 300 dollar minimum and each member above six adds 50 dollars. For profit and nonprofit corporations pay 20 dollars. Any change to the registered agent or registered office made on the report adds another 20 dollars. Limited partnerships and LLPs must also file under T.C.A. 61-3-211 and T.C.A. 61-1-1001, but their report fees were not confirmed.

Common questions.
How much does it cost to start an LLC in Tennessee?
Your total has two parts: the one-time Tennessee state filing fee for the Articles of Organization, which the state sets, and our formation service, which is free. On top of the filing fee, budget for anything optional you add, like a registered agent or expedited processing, plus recurring items such as the Tennessee annual report and any franchise tax. The breakdown above lists each line, and current amounts are on the pricing page.
Does Tennessee charge an LLC annual fee?
Most states, Tennessee included, charge something to keep an LLC active, but the form differs: it may be an annual or biennial report fee, a franchise tax, or both, and a few states charge very little. This recurring cost is the part new owners underestimate, so it belongs in your budget from day one. A compliance calendar tracks what Tennessee charges and when, so a missed date never becomes a late penalty.
Does Tennessee have a franchise tax on LLCs?
It depends on Tennessee. Some states levy a franchise tax on LLCs that can be flat, based on revenue, or based on net worth, while others impose none. Where it applies, it is separate from the annual report and from income tax, and missing it can cost you good standing. Because the trigger and amount vary, confirm Tennessee's rule before you plan your first year and count it in the true cost of the LLC, not just the filing fee.
What is the cheapest way to form a Tennessee LLC?
The cheapest honest way is to pay only the state filing fee and skip the markups, which is exactly how our free formation works. You can act as your own registered agent to save that line if you have a Tennessee address and are available in business hours, though many owners still pay for one to keep their home address private. Skimping on the Operating Agreement or on compliance, though, usually costs more later than it saves now.
How does the cost of a Tennessee LLC compare to other states?
Tennessee sits somewhere on a wide national range: state filing fees run from modest to several hundred dollars, and recurring franchise taxes vary even more. Comparing states on filing fee alone is misleading, though, because forming outside the state where you operate means paying twice, once at home and once as a foreign entity. For a business that actually runs in Tennessee, Tennessee is usually the cheapest real option once you count the ongoing obligations.
Is there an LLC formation cost in Tennessee I can avoid?
Some line items are optional and easy to skip: expedited processing if you are not in a hurry, a name reservation if you are filing right away, and certified copies you do not yet need. What you should not skip to save money is the registered agent requirement, the Operating Agreement, or the Tennessee annual report, because a lapse there risks the entity itself. We flag which costs are truly optional so you pay only for what you need.
Does forming in another state save money over Tennessee?
Rarely, for an operating business. Forming in a cheaper state while you actually work in Tennessee means you still register in Tennessee as a foreign LLC and pay a Tennessee registered agent, so you double your filings and fees for little gain. Out-of-state formation mainly suits holding companies or specific privacy strategies. If you do operate across state lines, that is foreign qualification, which adds cost rather than removing it.
