What the Ohio fee schedule actually says
Ohio LLCs, business corporations and limited partnerships file no periodic report at all, so the value is null rather than zero. Two exceptions exist. A non profit corporation files a Statement of Continued Existence for 25 dollars once every five years under ORC 1702.59. A domestic or foreign limited liability partnership files a biennial report for 25 dollars between 1 April and 1 July of each odd numbered year under ORC 1776.83. Corporation formation is not a flat 99 dollars where shares are authorised. ORC 111.16 charges 10 cents per share for the first 1,000 shares and less for later tranches, subject to a 99 dollar minimum and a 100,000 dollar maximum, so a corporation authorising more than 990 shares pays more than 99 dollars. Ohio authorises series LLCs by operating agreement under ORC 1706.76 with no separate filing or fee.

Common questions.
Do I need to live in Ohio to form an LLC there?
No. You do not need to live in Ohio or be a resident to form an LLC there. What Ohio requires is a registered agent with a physical in-state address to receive legal mail, which we provide, or you can act as your own if you have an Ohio address and are available in business hours. Where you live does not limit where you can form.
What is the difference between an LLC and a corporation in Ohio?
An LLC is simpler and pass-through: profit lands on your personal return and there is little required formality, which suits most owners in Ohio. A corporation is built to raise venture capital and issue stock, but it adds bylaws, a board, and annual meetings. Does Ohio require an Operating Agreement?
Ohio may not require you to file one, but you should have one. What ongoing compliance does an Ohio LLC require?
Forming is the start, not the finish. An Ohio LLC generally files a periodic annual report, keeps a registered agent on record, and pays any state franchise tax. Can I change my Ohio LLC name later?
