What happens if you miss the Floridan annual report deadline

  • Late fee: a flat $400 from May 2, set by Fla. Stat. 607.193(2)(b). Not a percentage, and Florida charges no interest on it. Sunbiz states there is no provision to abate or waive it. Non-profit corporations are exempt. Filing late therefore costs an LLC $538.75 in total and a profit corporation $550.00.
  • Loss of good standing: Your entity is marked "not in good standing." This blocks loans, contracts, certain license applications.
  • Administrative dissolution: if the report is still unfiled at 5 p.m. on the third Friday in September, Florida dissolves the entity on the fourth Friday. Reinstatement then costs $100 plus every delinquent report for an LLC, $238.75 at a minimum, and $600 plus the report for a profit corporation, $750 at a minimum.
  • Personal liability exposure: Operating a dissolved entity can pierce the liability shield, exposing owners personally.
